Please read these Terms carefully. By accessing or using the Naadi Health platform or naadi-health.com, you agree to be bound by these Terms of Service. These Terms apply to hospital customers and their authorised staff. Individual hospital agreements and Data Processing Addenda take precedence over these Terms where they conflict. These Terms should be read together with our Privacy Notice.
OneKinAI India Private Limited ("OneKinAI", "we", "us", "our") is incorporated under the Companies Act, 2013, and having its registered office at 1158, Paduvana Road, 2nd Cross, TK Layout, Ramakrishna Nagar, Mysore, Karnataka 570022, India.
Naadi Health ("Naadi", "the Platform") is a clinical documentation and hospital management software platform operated by OneKinAI. We provide software — we do not provide healthcare, medical advice, or clinical services. Hospitals and licensed healthcare professionals provide healthcare.
AI-generated outputs within the Platform are intended solely as decision-support tools for licensed healthcare professionals and must be independently assessed by the treating healthcare professional before being relied upon in clinical care. OneKinAI does not determine the medical necessity, accuracy, diagnosis, treatment, or appropriateness of clinical decisions recorded within the Platform.
By accessing or using the Naadi platform, you confirm that you have the authority to bind the hospital or institution on whose behalf you are acting, and that you agree to these Terms on behalf of that institution. If you do not agree to these Terms, do not use the Platform.
Use of the Platform by hospital staff constitutes acceptance of these Terms. Individual hospital agreements signed with OneKinAI take precedence over these Terms where they conflict.
The Platform is licensed for use by authorised hospital staff for clinical documentation, hospital management, and related administrative purposes within the scope of the hospital's agreement with OneKinAI.

The Naadi platform, including all software, algorithms, user interfaces, content, branding, and documentation, is the exclusive property of OneKinAI India Private Limited. All rights are reserved.
The names Naadi and OneKinAI, and associated logos and brand elements, are the intellectual property of OneKinAI India Private Limited. Nothing in these Terms transfers any intellectual property rights to you.
Hospital data entered into the Platform remains the property of the hospital. OneKinAI claims no ownership over patient records or clinical data entered by hospital staff.

The Platform uses artificial intelligence to assist with clinical documentation, including SOAP notes, DART notes, discharge summaries, and related outputs. These outputs are decision-support tools only.
OneKinAI does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content. The treating healthcare professional bears primary responsibility for the clinical decisions made in connection with their patients. No AI-generated output should be relied upon without independent professional assessment.
OneKinAI will use reasonable efforts to maintain the availability of the Platform. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, and circumstances beyond our reasonable control may result in temporary unavailability.
Support is provided in accordance with the hospital's agreement with OneKinAI. These Terms do not create any service level obligations beyond those expressly agreed in writing.
Our collection and processing of personal information is governed by our Privacy Notice and any applicable Data Processing Addendum agreed with the hospital. Hospitals act as the Data Fiduciary for patient data under applicable Indian law; OneKinAI processes data as a service provider on behalf of hospitals.
Data is designed to be stored primarily within India on secure cloud infrastructure unless otherwise agreed with the hospital or required for lawful processing. OneKinAI implements industry-standard security controls, which are subject to ongoing review and improvement.
The Platform is provided "as is" and "as available." To the maximum extent permitted by applicable law, OneKinAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
OneKinAI is not liable for clinical decisions made by healthcare professionals using the Platform, for the accuracy of AI-generated content relied upon without independent review, or for any loss or damage arising from the hospital's failure to comply with applicable law or its obligations under these Terms.
To the maximum extent permitted by applicable law, OneKinAI's aggregate liability to any hospital for any claim arising under or in connection with these Terms shall not exceed the fees paid by that hospital in the twelve months preceding the claim.
Nothing in these Terms excludes liability for fraud, death, or personal injury caused by OneKinAI's gross negligence.
Each party agrees to keep confidential the other party's proprietary and confidential information disclosed in connection with the Platform, and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by applicable law.
Either party may terminate the hospital's use of the Platform in accordance with the hospital's agreement with OneKinAI. OneKinAI may suspend or terminate access immediately if a hospital materially breaches these Terms or its individual agreement, or if continued use would violate applicable law.
Upon termination, OneKinAI will make hospital data available for export for a reasonable period and will subsequently delete or anonymise it in accordance with the Data Processing Addendum and applicable law.
We may update these Terms from time to time. We will notify hospital administrators of material changes with at least 30 days' notice prior to the effective date. Continued use of the Platform after the notice period indicates acceptance of the updated Terms. Hospital agreements signed with OneKinAI are not affected by changes to these Terms unless expressly agreed in writing.
OneKinAI shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to internet or cloud infrastructure outages, cyberattacks, natural disasters, acts of government, war, civil unrest, or other events outside OneKinAI's reasonable control. OneKinAI will use reasonable efforts to resume normal service as soon as practicable.
OneKinAI may assign or transfer these Terms, or any rights or obligations under them, in connection with a merger, acquisition, sale of assets, or restructuring, without requiring consent from the hospital, provided that the assignee assumes all obligations under these Terms. Hospitals may not assign their rights under these Terms without OneKinAI's prior written consent.
These Terms shall be governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts having competent jurisdiction at Mysuru, Karnataka, India.
